Agreement
These terms are an agreement between Inspired Networks Inc ("Inspired", "we", "us") and the organization that uses Claude Enterprise Budget Manager (the "Service"), and the people who use it on that organization's behalf ("you"). By signing in to or using the Service, you agree to these terms. If you use the Service for an organization, you confirm that you are authorized to accept these terms for it.
If your organization has signed a separate agreement or order form with us, that agreement takes precedence over these terms where they conflict.
The Service
The Service connects to your organization's Claude Enterprise account through Anthropic's published APIs. It shows usage and cost information, lets members request higher monthly spend limits within rules your organization sets, routes requests for approval, applies approved limit changes in Claude Enterprise, and reverts temporary increases at the start of each month.
Claude Enterprise Budget Manager is an independent product of Inspired Networks Inc. It is not affiliated with, sponsored or endorsed by Anthropic. Claude and Claude Enterprise are trademarks of Anthropic, PBC.
We may change, add or remove features over time. If we remove a feature your organization relies on, we will give reasonable notice where practical.
Accounts and access
- You sign in with a Google or Microsoft work account. Keep that account secure. You are responsible for activity under your account.
- Your organization, or its IT provider, controls who has access and in what role. Administrators can add and remove people at any time.
- Tell us promptly at [email protected] if you believe your account or your organization's keys have been compromised.
Your responsibilities
Your organization is responsible for:
- having the right to connect its Claude Enterprise account and to share its members' information with the Service, including giving any notices to, or obtaining any consents from, its people that the law requires;
- the keys it provides, the permissions they carry, and revoking them when they are no longer needed;
- its budget tiers, approval rules and the decisions its administrators and approvers make;
- following Anthropic's terms and policies for its Claude Enterprise account.
Claude and spend limits
- When a request falls within a self-service tier, is approved, or is reset at the start of a month, the Service changes the member's spend limit in your organization's Claude Enterprise account. Your organization authorizes those changes by configuring the Service.
- Charges for Claude usage are billed by Anthropic under your organization's agreement with Anthropic. We are not responsible for Claude usage charges, including charges that follow a limit increase the Service applied in line with your settings.
- Usage and cost figures come from Anthropic and can be delayed or revised. Spend shown in the Service is for guidance. Anthropic's invoices are the authoritative record.
- If Anthropic changes or withdraws an API the Service depends on, some features may stop working until we can adapt.
Acceptable use
You must not:
- use the Service to access a Claude organization or information you are not authorized to access;
- attempt to bypass access controls, probe or disrupt the Service, or interfere with other customers;
- reverse engineer the Service, except where the law allows it despite this restriction;
- use the Service for any unlawful purpose or in breach of Anthropic's policies.
We may suspend access that we reasonably believe breaks these rules or puts the Service or others at risk. We will tell you why where we are able to.
Your data
Your organization keeps all rights to its data. You give us permission to use it only to provide, secure and support the Service, as described in our privacy policy. We do not sell your data or use it to train artificial intelligence models.
When your organization stops using the Service, it can ask us to delete its data, and we will do so except where the law requires us to keep it.
Fees
Fees for the Service, if any, are set out in your organization's order form or agreement with us, or with the IT provider through which you receive the Service. Fees are exclusive of taxes unless stated otherwise.
Third-party services
The Service relies on third parties, including Anthropic, Google, Microsoft and Mailgun. Their services are governed by their own terms. We are not responsible for their availability or for how they handle information under their own policies.
Intellectual property
We own the Service, including its software, design and content, and all related intellectual property. These terms give you a limited, non-exclusive, non-transferable right to use the Service for your organization's internal business purposes while your organization is entitled to access it. If you send us feedback, we may use it without obligation to you.
Confidentiality
Each party will protect the other's non-public information that it receives in connection with the Service with at least reasonable care, and use it only to perform under these terms. This does not apply to information that is public, already known to the recipient, independently developed, or that must be disclosed by law.
Disclaimers
We will provide the Service with reasonable skill and care. Otherwise, to the extent the law allows, the Service is provided "as is" and "as available", and we disclaim all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not guarantee that the Service will be uninterrupted or error-free, or that usage data from Anthropic will be complete or current.
Limitation of liability
To the extent the law allows:
- neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data, even if advised of the possibility;
- each party's total liability arising out of or relating to the Service is limited to the fees your organization paid for the Service in the twelve months before the event giving rise to the claim, or, if no fees were paid, one hundred Canadian dollars (CAD $100).
These limits do not apply to a party's fraud, wilful misconduct, or obligations that cannot be limited by law.
Indemnity
Your organization will defend and indemnify Inspired Networks Inc against third-party claims arising from its data, its configuration and use of the Service, or its breach of these terms or of Anthropic's terms, and will pay resulting damages and reasonable costs finally awarded or agreed in settlement.
Term and termination
These terms apply for as long as you use the Service. Your organization may stop using it at any time and revoke the keys it provided. We may suspend or end access if your organization materially breaches these terms and does not fix the breach within a reasonable time after notice, or immediately where needed to prevent harm. The sections on data, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity and governing law continue after these terms end.
Governing law
These terms are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-law rules. The courts located in Vancouver, British Columbia have exclusive jurisdiction over any dispute arising out of or relating to these terms or the Service, and each party submits to that jurisdiction.
General
- We may update these terms. We will post the new version here with a new "last updated" date and, for material changes, notify customers in advance by email or in the Service. Continuing to use the Service after changes take effect means you accept them.
- Neither party may assign these terms without the other's consent, except to a successor in a merger or sale of substantially all of its business.
- Neither party is responsible for delays caused by events beyond its reasonable control.
- If any part of these terms is found unenforceable, the rest remains in effect. A failure to enforce a term is not a waiver.
- These terms, together with any order form and our privacy policy, are the entire agreement between the parties about the Service.
